1. About MatchBay

MatchBay is an online dating, matchmaking and relationship-discovery service operated by Gigliotti.Co Limited, an Irish private limited company registered under company number 565002, with its registered office at Unit 6, Ivowen Commercial Centre, Kilsheelan, Clonmel, Co. Tipperary, E91 XR62, Ireland.

In these Terms, “MatchBay”, “we”, “us” and “our” refer to Gigliotti.Co Limited. “You” and “user” refer to the person using MatchBay.

By creating an account or using MatchBay, you agree to these Terms of Service and acknowledge our Privacy Policy and Community & Safety Guidelines.

2. Eligibility

MatchBay is strictly for persons aged 18 years or older. By creating an account, you confirm that you are at least 18 years old, have legal capacity to enter into these Terms, are not prohibited by law from using the service, and will use MatchBay for lawful personal dating, companionship or relationship purposes.

We may request age or identity verification where reasonably necessary for safety, fraud prevention or legal compliance. Identity verification does not constitute an endorsement, guarantee of character, criminal-background check or guarantee that information supplied by a user is accurate.

3. Your Profile

You are responsible for the information, photographs and other material appearing on your profile. You must not impersonate another person, use another person's photographs without permission, deliberately create a fraudulent identity, falsely claim MatchBay has verified information that it has not verified, or upload unlawful, threatening, abusive, sexually exploitative or infringing material.

4. AI Cupid and AI Features

MatchBay includes artificial-intelligence-assisted features, including Cupid, our AI dating assistant. Cupid and other AI features may assist with profile creation and improvement, profile summaries, compatibility analysis, suggested introductions, conversation suggestions, explanations of potential compatibility, first-date suggestions, relationship and communication guidance, safety prompts and other dating-related assistance.

When you interact with Cupid, you are interacting with artificial intelligence, not a human adviser. AI output may be inaccurate, incomplete, inappropriate or unsuitable for your circumstances. Compatibility scores and recommendations are aids to discovery, not guarantees. You remain responsible for your own decisions about whom you contact, meet or date.

5. Compatibility Scores and Recommendations

MatchBay may analyse information supplied by users to calculate compatibility indicators, rankings, recommendations or suggested matches. These may take account of interests, relationship preferences, lifestyle information, location, stated preferences and information voluntarily provided through MatchBay. A compatibility score is an automated estimate and does not guarantee attraction, compatibility or a successful relationship.

6. Location and Distance

MatchBay may use location information to identify people within a relevant geographical area and estimate distance between users. For privacy and safety, MatchBay may display an approximate location or distance rather than a user's precise location.

7. Communications Between Users

You are responsible for communications you send. You must not harass, threaten or intimidate another person; send unwanted sexual material; repeatedly contact someone who has indicated contact is unwanted; solicit money fraudulently; operate scams; distribute spam; promote illegal goods or services; obtain another person's passwords or financial information; or distribute malware or malicious links.

8. Meeting Other Users

Meeting someone through MatchBay is your personal decision. MatchBay recommends sensible precautions, including meeting in a public place, telling someone you trust where you are going, arranging your own transport and avoiding unnecessary disclosure of financial or highly sensitive personal information. MatchBay cannot guarantee the identity, intentions, background, behaviour or safety of another person.

9. Prohibited Conduct

You must not use MatchBay for unlawful purposes; exploit, threaten or abuse another person; engage in targeted harassment; upload child sexual abuse material; facilitate trafficking or sexual exploitation; impersonate another person; commit fraud; scrape MatchBay data; use unauthorised bots; bypass security; introduce malware; train an external AI system using MatchBay content or user information without permission; reverse engineer proprietary MatchBay systems; or use MatchBay principally for unsolicited commercial solicitation.

10. Reporting, Moderation and Enforcement

Users may report profiles, messages or content. MatchBay may investigate reports, issue warnings, remove content, restrict functionality, suspend or terminate accounts, preserve relevant evidence, or refer serious matters to competent authorities where appropriate or legally required.

11. User Content

You retain ownership of content that you create and upload, subject to third-party rights. You grant MatchBay a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, adapt for technical purposes and otherwise process your content only as reasonably necessary to operate, secure, improve and provide MatchBay and its features, subject to our Privacy Policy and applicable law. This licence does not transfer ownership to MatchBay.

12. Intellectual Property

The MatchBay service, branding, software, interface, design, algorithms, databases and proprietary functionality are owned by or licensed to Gigliotti.Co Limited except where otherwise stated. Nothing in these Terms transfers MatchBay intellectual property to users.

13. Free and Paid Services

MatchBay may initially provide some or all services free of charge. We may subsequently introduce subscriptions, premium features or other paid services. Before purchase, MatchBay will clearly display applicable prices, billing periods and material conditions. We will not retrospectively charge you for a service presented as free.

14. Promotions and Referral Benefits

MatchBay may offer promotional or referral benefits. Specific eligibility requirements will be explained with the promotion. Fraudulent referrals, duplicate accounts or manipulation may result in withdrawal of the benefit or account action.

15. Account Closure

You may close your account using the controls provided. We may suspend or terminate accounts that breach these Terms, pose a safety risk, engage in fraud or abuse, or where necessary to protect MatchBay, its users or comply with law.

16. Availability

We aim to provide a reliable service but do not guarantee uninterrupted or error-free operation. Features may be added, modified or removed as MatchBay develops.

17. No Guarantee of Dating Success

MatchBay provides technology to help people discover and communicate with others. We do not guarantee matches, replies, dates, attraction, compatibility, relationships, marriage, the accuracy of everything another user says, or another user's conduct.

18. Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under Irish or applicable consumer law. To the maximum extent permitted by law, MatchBay is not responsible for losses caused by another user's conduct or by decisions a user independently makes about communicating with or meeting another person.

19. Privacy

Our processing of personal data is explained in the MatchBay Privacy Policy.

20. Changes to These Terms

We may update these Terms where reasonably necessary because of changes to MatchBay, law, regulation, safety requirements or business operations. Material changes will receive appropriate notice.

21. Governing Law

These Terms are governed by the laws of Ireland, subject to mandatory consumer protections that apply where you reside.

For applicable data-protection law, including GDPR, Gigliotti.Co Limited is the controller of personal data processed through MatchBay unless stated otherwise.

2. Our Approach to Privacy

Dating services necessarily involve personal information, some of which can be particularly sensitive. We aim to collect and use information only where there is a genuine purpose, explain how it is used, and give users meaningful control where appropriate.

3. Information We May Collect

Depending on features used, we may process account information; profile information; photographs and media; location information; preferences and matching information; communications; AI interactions; technical and security information; and payment/transaction information if paid services are introduced.

Some voluntarily provided information may reveal special-category personal data under GDPR, including sexual orientation, sex life, health, racial or ethnic origin, or religious or philosophical beliefs. Where applicable, MatchBay will seek explicit consent or rely on another lawful Article 9 GDPR condition before processing such information.

We may use personal data to create and maintain accounts; display profiles; provide matching and discovery; calculate compatibility indicators; provide Cupid and other AI-assisted features; allow communications; estimate distance and location relevance; provide verification; detect scams, fake accounts and abuse; moderate content; respond to reports; prevent fraud; maintain security; provide support; process payments; comply with legal obligations; establish, exercise or defend legal claims; and improve MatchBay.

5. Legal Bases

Depending on the processing, we may rely on contract, consent, explicit consent, legitimate interests, legal obligation, legal claims and other applicable GDPR provisions.

6. AI, Profiling and Compatibility Analysis

MatchBay uses automated processing to help identify potentially relevant profiles and compatibility. This may involve stated preferences, interests, lifestyle choices, relationship goals, location, questionnaire responses and interactions with MatchBay. Recommendations and compatibility scores are recommendations rather than determinations about you. MatchBay does not intend ordinary compatibility recommendations to make decisions producing legal effects concerning users.

7. Cupid

Cupid is an artificial intelligence system. When you communicate with Cupid, you are communicating with AI rather than a human. Cupid may analyse information you provide and information associated with your MatchBay profile to provide dating-related assistance. Cupid's responses may be inaccurate and should not be treated as professional, medical, psychological, legal or financial advice.

8. Who Can See Your Information

Other users may see information you choose to make part of your dating profile. They will not ordinarily receive administrative account information, login credentials, private account contact information or precise device location merely because they can view your profile. Messages are visible to intended recipients and may be accessed by authorised MatchBay personnel or systems where reasonably necessary for security, moderation, support, investigation or legal compliance.

9. Service Providers

We may use selected service providers for hosting and infrastructure, email and communications, security, analytics, identity verification, payment processing, customer support and AI technology. Such providers may process personal data only as permitted by applicable law and contractual arrangements.

10. International Transfers

Where personal data is transferred outside the European Economic Area, MatchBay will use a lawful transfer mechanism where required.

11. Retention

We keep personal information only as long as reasonably necessary for the purpose for which it was collected and for legitimate legal, security and operational requirements. When an account is closed, profile information will ordinarily be removed from active dating discovery. Certain information may be retained where necessary for fraud and abuse prevention, security, complaints, financial/tax records, legal obligations or legal claims.

12. Account Deletion

You may request deletion of your MatchBay account. Following a valid request, we will delete or anonymise personal data unless continued retention is permitted or required by law.

13. Your GDPR Rights

Subject to applicable law, you may have rights to information, access, correction, deletion, restriction, objection, data portability, withdrawal of consent, applicable rights concerning automated decision-making, and the right to complain to a supervisory authority.

14. Withdrawing Consent

Where processing is based on consent or explicit consent, you may withdraw it at any time using controls provided by MatchBay or by contacting us.

15. Security

We use technical and organisational measures intended to protect personal information. No online service can guarantee absolute security.

16. Safety and Disclosure

We may preserve, review or disclose relevant information where reasonably necessary and lawful to investigate serious abuse, protect users, prevent fraud, respond to valid legal requests, comply with legal obligations, protect life or safety, or establish, exercise or defend legal claims.

17. Children

MatchBay is for adults aged 18 and over. We do not knowingly permit persons under 18 to create dating accounts.

18. Cookies and Similar Technologies

The MatchBay website and app may use cookies, local storage and similar technologies for essential functionality, authentication, security, preferences and, where permitted, analytics. Where consent is legally required for non-essential technologies, MatchBay will request it.

Matchbay Community & Safety Guidelines

MatchBay exists to help adults meet other adults for dating, companionship and relationships. We want people to use MatchBay without harassment, intimidation, fraud or abuse.

1. Be Genuine

Use MatchBay as yourself. Do not impersonate someone else, create fake identities, use another person's photographs as though they were you, falsely claim verification, operate romance scams or create deceptive accounts for malicious purposes.

2. Respect Other People's Boundaries

Interest must be mutual. If someone says no, stops responding, unmatches or blocks you, respect that decision.

3. No Harassment or Threats

Threats, stalking, intimidation, bullying, targeted harassment, coercion, blackmail, extortion and malicious publication of private information are prohibited.

4. Sexual Conduct and Consent

Adults may discuss intimacy and relationships, but consent and boundaries must always be respected. Do not send unwanted explicit sexual material or pressure another person into sexual activity. Sexual exploitation or sexual content involving anyone under 18 is strictly prohibited.

5. No Hate or Targeted Degradation

Do not attack or dehumanise people because of protected characteristics. Dating preferences do not provide permission to abuse or humiliate others.

6. No Scams or Financial Exploitation

Never use MatchBay to operate a romance scam or obtain money through deception. Be extremely cautious if someone you have never met asks for money, loans, cryptocurrency, gift cards, bank details, passwords, investment payments or emergency travel money.

7. Protect Your Personal Information

Think carefully before sharing your home address, financial information, passwords, identity-document numbers, intimate photographs, workplace details or information that could compromise your physical safety.

8. Meeting Safely

When meeting someone for the first time, consider meeting in a public place, tell a friend or relative where you are going, arrange transport you control, keep your phone available, and leave if you feel unsafe. Compatibility scores and identity verification are not guarantees of safety.

9. Photographs

Photographs should genuinely represent the person whose profile they appear on. Do not upload another person's photograph without permission, unlawful sexual content, intimate material shared without consent, child sexual abuse material, or images intended to threaten, humiliate or exploit another person.

10. Identity Verification

A MatchBay verification badge means only what MatchBay states that particular verification process has established. Verification does not mean MatchBay endorses a user or guarantees that the person is trustworthy, compatible or safe to meet.

11. AI Cupid

Cupid is MatchBay's AI dating assistant. Cupid can help users think about profiles, compatibility, conversations and dating situations, but is not a human matchmaker, psychologist or safety professional. Do not rely on Cupid as the sole basis for a personal-safety decision.

12. Respect Privacy

Do not publish another user's private messages, intimate images, personal contact information or other private information to harm, threaten or humiliate them. Never distribute intimate material without consent.

13. Commercial Activity

Do not use MatchBay for spam, mass advertising, pyramid schemes, fraudulent investment promotion, recruitment into illegal activity, commercial sexual exploitation or unsolicited sales campaigns.

14. Illegal and Dangerous Activity

Do not use MatchBay to organise, promote or facilitate serious illegal activity. Where MatchBay becomes aware of an immediate or serious threat to life or safety, we may take appropriate action, including contacting relevant authorities where legally required or appropriate.

15. Reporting Someone

If a profile, message or user concerns you, use Report. Where appropriate, use Block to prevent further interaction. Reports should be made honestly.

16. What MatchBay May Do

Depending on circumstances, MatchBay may warn a user, remove content, restrict an account, remove a profile from discovery, suspend or terminate an account, investigate activity, preserve evidence or refer appropriate matters to competent authorities.

17. Moderation Reviews

Where required by applicable law, users will be provided with information about qualifying moderation decisions and available mechanisms for review or appeal.

18. Emergencies

MatchBay is not an emergency service. If you or another person faces immediate danger, contact the appropriate local emergency services.

19. One Simple Rule

Treat the people you meet through MatchBay with honesty, dignity, consent and respect.
